These Terms of Service (“Terms”) form part of the binding contract between you (the “User” or “Employer”) and Metarelic Consulting Inc. (collectively, “Metarelic People”, “us”, “we” or “our”). These Terms contain the terms and conditions that govern the use of Metarelic People’s platform, including our applications, websites, software, and support services (the “Platform”) through which we offer products and services (“Services”) to end users directly or through a third-party program. The Platform and Services are only available to users who are authorised to form legally binding contracts under applicable laws in the jurisdictions in which the Platform and Services are offered or made available.

By accessing or using the Metarelic People Platform, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, you may not use the Platform or Services.

Metarelic People is a software-as-a-service (SaaS) platform that provides HR and payroll management solutions. The Service includes features such as employee data management, payroll processing, and integration with existing systems.

3. User Accounts

• Account Creation: To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete.
• Account Security: You are responsible for safeguarding your password and any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Use of Service

• Compliance: You agree to use the Service only for lawful purposes and in accordance with these Terms and any applicable laws and regulations.
• Prohibited Uses: You agree not to:
  • Use the Service in any manner that could interfere with, disrupt, or negatively affect other users from fully enjoying the Service.
  • Use the Service for any fraudulent or malicious activities.
  • Reverse engineer, decompile, or disassemble any portion of the Service

5. Fees and Payment

• Subscription Fees: The Service is provided on a subscription basis. You agree to pay all applicable fees in accordance with the pricing and payment terms specified at the time of subscription.
• Billing: You will be billed monthly or annually, as per your subscription plan. Payments are due within 15 days of the invoice date.
• Late Payments: Late payments may incur a 1.5% monthly interest fee.

6. Termination

• By You: You may terminate your account at any time by following the procedures on the platform. Termination will be effective immediately.
• By Us: We may suspend or terminate your access to the Service at any time, with or without cause or notice, and without liability to you.

7. Confidentiality

We are committed to maintaining the confidentiality of your data. Both parties agree to maintain the confidentiality of all proprietary information and data exchanged during the course of using the Service. This obligation will continue beyond the termination of your account.

9. Limitation of Liability

To the fullest extent permitted by law, Metarelic People shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Service.
• Any unauthorized access to or use of our servers and/or any personal information stored therein.
• Any interruption or cessation of transmission to or from the Service.
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Service by any third party.

10. Indemnification

You agree to defend, indemnify, and hold harmless Metarelic People, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, or your violation of these Terms.

11. Modifications to the Service and Terms

We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We may also revise these Terms from time to time. The most current version will always be posted on our website. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Grenada, without regard to its conflict of law principles.
