These Customer Terms of Service (“Customer Terms”) apply to organisations (referred to as “Customer”, “you”, or “your”) that access and use the Metarelic People platform to manage human resources, payroll, and workforce-related processes.
Metarelic People is a product of Metarelic Consulting Inc. (“Metarelic People”, “we”, “us”, or “our”). These Customer Terms form a legally binding agreement between you and Metarelic People when you use the platform and related services on your own behalf or on behalf of your organisation.
By accessing or using the Metarelic People platform, you confirm that you have the authority to bind the Customer to these Customer Terms, and you agree to comply with them. If you do not agree to these terms, you must not use the Services.
1. Services
Metarelic People is a modular software-as-a-service (SaaS) platform that provides human resource information system (HRIS), payroll, time and attendance, and performance management capabilities to Employers.
The Services may include (but are not limited to):
- Core HR: employee data management, digital personnel records, organisational hierarchy, document storage
- Payroll: multi-period pay schedule configuration, automated calculations, tax and benefit deductions, and payslip generation
- Time & Attendance: scheduling, clock-in/clock-out tracking, time-off management, and compliance alerts
- Performance: goal-setting, reviews, feedback loops, and reporting
- Integrations: optional connection with third-party tools (e.g., accounting, benefits, analytics platforms)
- Automation & Notifications: automated reminders, compliance triggers, and rule-based workflows. These automations are designed to assist Employers with decision-making but do not replace your responsibility for verifying outputs or ensuring compliance with applicable laws.
- Access Control & Self-Service: differentiated user permissions and secure self-service portals for Workers and Admins
The Services are delivered through our web platform and mobile application, which may require Internet access and compatible devices. Support, maintenance, and updates are included as part of your subscription, subject to the applicable plan.
- Beta Services
From time to time, we may offer preview features, pilot modules, or experimental functionality (“Beta Services”). These are provided “as-is” without warranty and may be modified or discontinued at any time. Use of Beta Services may be subject to additional terms.
2. User Accounts
- Account Creation
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete.
- Account Security
You are responsible for safeguarding your password and any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.
- Worker Access and Data Responsibilities
You may grant access to Workers (e.g., employees or contractors) through the Metarelic People Platform. Each Worker’s use of the Platform is governed by the separate Worker Terms of Service, which you are responsible for bringing to their attention.
You agree and acknowledge that:
- You remain responsible for the accuracy and legality of all Worker Data submitted to the Platform.
- You will not restrict Workers from accessing their Worker Data where applicable by law.
- Worker Data is retained or deleted in accordance with our data retention policy and may remain available to the Worker after termination of your relationship.
3. Use of Service
- Compliance
You agree to use the Service only for lawful purposes and in accordance with these Terms and any applicable laws and regulations.
- Prohibited Uses
You agree not to:
- Use the Service in any manner that could interfere with, disrupt, or negatively affect other users from fully enjoying the Service.
- Use the Service for any fraudulent or malicious activities.
- Reverse engineer, decompile, or disassemble any portion of the Service
4. Fees and Payment
- Subscription Fees
The Service is provided on a subscription basis. You agree to pay all applicable fees in accordance with the pricing and payment terms specified at the time of subscription.
- Billing
You will be billed monthly or annually, as per your subscription plan. Payments are due within 15 days of the invoice date.
- Late Payments
Late payments may incur a 1.5% monthly interest fee.
5. Termination
- By You
You may terminate your account at any time by following the procedures on the platform. Termination will be effective immediately.
- By Us:
We may suspend or terminate your access to the Service at any time, with or without cause or notice, and without liability to you.
Following termination, Metarelic People will retain Customer Data for 90 days unless otherwise required by law. After this period, Customer Data may be permanently deleted. You are responsible for exporting any required data prior to the expiration of this retention period.
6. Confidentiality
We are committed to maintaining the confidentiality of your data. Both parties agree to maintain the confidentiality of all proprietary information and data exchanged during the course of using the Service. This obligation will continue beyond the termination of your account.
7. Data Privacy
Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your personal information. Where we process personal data on your behalf, our obligations are detailed in the Data Processing Addendum.
8. Data Processing
To the extent that Metarelic People processes any personal data on your behalf in the provision of the Services, the terms of our Data Processing Addendum (“DPA”) are incorporated into and form part of these Terms.
You agree that:
- You are the data controller of any personal data submitted to the Platform.
- Metarelic People acts as a data processor and will process such data only on your instructions or as required by law.
- You are responsible for providing appropriate notices and obtaining all legally required consents from Workers or other data subjects.
- Our DPA governs our data security obligations, subprocessor usage, data subject rights support, and breach notification procedures.
9. Limitation of Liability
To the fullest extent permitted by law, Metarelic People shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your use or inability to use the Service.
- Any unauthorized access to or use of our servers and/or any personal information stored therein.
- Any interruption or cessation of transmission to or from the Service.
- Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Service by any third party.
10. Dispute Resolution
- Amicable Resolution.
The Parties agree that the avoidance or early resolution of disputes is crucial for the smooth execution of this Agreement. The Parties shall use their best efforts to settle amicably all disputes arising out of or in connection with this Agreement or its interpretation.
- Negotiation.
In the event of a dispute between the Parties concerning the interpretation or application of this Agreement, the parties concerned shall seek a solution by negotiation. You agree to contact our customer service team at legal@metarelicpeople.com to initiate such negotiation, and Metarelic People will respond promptly to such requests.
- Mediation.
If the parties concerned cannot reach an agreement by negotiation, they may jointly seek the good offices of or request mediation by a third party.
- Court Proceedings
In the event of failure of the above procedures, each Party may submit the dispute to the courts of Grenada.
- Time Limitation.
Any cause of action arising out of or related to the Platform or Services must commence within one (1) year after the cause of action accrues. Otherwise, such a cause of action is permanently barred.
- Intellectual Property Disputes.
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.
11. Legal Compliance
While the Platform supports features to help with compliance, you are solely responsible for ensuring your use of the Services complies with all applicable labour, tax, and social security laws, including but not limited to the Employment Act and the National Insurance Act.
12. Warranty Disclaimers
- TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, THE PLATFORM, SERVICES, AND METARELIC PEOPLE CONTENT ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND MADE BY METARELIC PEOPLE. WITHOUT LIMITING THE FOREGOING, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, METARELIC PEOPLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, DATA LOSS, AND NON-INFRINGEMENT. FURTHERMORE, METARELIC PEOPLE MAKES NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR QUALITY OF ANY INFORMATION OR METARELIC PEOPLE CONTENT IN OR LINKED TO THE SERVICES. METARELIC PEOPLE CANNOT GUARANTEE THE ACCURACY OR COMPLETENESS OF ANY CUSTOMER DATA OR WORKER DATA INPUT INTO THE PLATFORM AND MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO SUCH DATA OR INFORMATION. METARELIC PEOPLE DOES NOT WARRANT THAT THE PLATFORM, SERVICES, OR CONTENT WILL (I) MEET CUSTOMER’S OR USERS’ EXPECTATIONS OR REQUIREMENTS; (II) BE COMPLETELY SECURE OR FREE FROM ERRORS, BUGS, VIRUSES, OR OTHER HARMFUL COMPONENTS; OR (III) BE FREE FROM INTERRUPTION, THEFT, OR DESTRUCTION.
- Metarelic People makes no representations or warranties about the Platform’s uptime, availability, or permissibility in any particular geographical location. From time to time, Metarelic People may conduct scheduled or emergency system maintenance, during which the Platform may be inaccessible or unavailable, with or without notice. The Platform and Services rely on third-party infrastructure and services (e.g., hosting, communication, and processing providers). Any change to the services offered by those third parties may disable, reduce, or affect Customer’s use of the Platform.
- No oral or written information or advice given by Metarelic People, its agents, or employees will create a warranty or in any way increase the scope of the warranties set forth in this Agreement.
13. Intellectual Property
- Metarelic People and its licensors retain all rights, title, and interest in and to the Platform, Services, documentation, software, user interface designs, logos, trademarks, and any content provided by Metarelic People (“Metarelic IP”), including all related intellectual property rights. No rights are granted to the Customer except as expressly set forth in this Agreement.
- Metarelic People grants the Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Services during the Term solely for internal business purposes, subject to this Agreement and applicable usage restrictions.
- Customer agrees not to (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Services; (b) use the Services or Metarelic IP to develop a competing product; or (c) remove or alter any proprietary notices.
- Any feedback, comments, or suggestions provided by the Customer or its Users regarding the Services (“Feedback”) may be freely used by Metarelic People without restriction or obligation. Customer assigns all rights in such Feedback to Metarelic People.
14. Indemnification
You agree to defend, indemnify, and hold harmless Metarelic People, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, or your violation of these Terms.
15. Modifications to the Service and Terms
We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We may also revise these Terms from time to time. The most current version will always be posted on our website. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Grenada, without regard to its conflict of law principles.
