Thank you for using the websites, applications and services offered by Metarelic Consulting Inc. doing business as Metarelic People ("Metarelic People", "we", "us", "our"), which provides human resource, payroll, and employee management services (Metarelic People's websites, services, mobile applications and other applications and any related software, as well as improvements, updates, enhancements, error corrections, bug fixes, release notes, upgrades and changes thereto, are referred to collectively, herein as the "Metarelic People Services"). This Worker Terms of Service Agreement (the "Worker Terms") governs access to and use of the Metarelic People Services by individuals authorised by a Metarelic People customer ("Employer") (such individuals, "Workers" and collectively with visitors to our websites, "you" or "Users").
PLEASE REVIEW THESE WORKER TERMS CAREFULLY. BY ACCEPTING THESE WORKER TERMS OR USING ANY OF THE METARELIC PEOPLE SERVICES, YOU AGREE THAT THESE WORKER TERMS ARE A LEGALLY BINDING CONTRACT BETWEEN YOU AND US. IF YOU DO NOT AGREE TO BE BOUND TO THESE WORKER TERMS OR TO ANY PROVISIONS HEREIN, YOU MUST CEASE ALL USE OF METARELIC PEOPLE SERVICES.
You acknowledge that you are able to receive, download, and print these Worker Terms electronically and that you consent to do business electronically.
THESE WORKER TERMS CONTAIN DISPUTE RESOLUTION PROVISIONS IN SECTION 14 TITLED "DISPUTE RESOLUTION", WHICH AFFECT YOUR LEGAL RIGHTS. PLEASE READ THESE PROVISIONS CAREFULLY.
1. Employer's Choices and Instructions
Your Employer has separately agreed to our Employer Terms of Service Agreement (the "Employer Agreement") that permits the Employer to create and configure a Metarelic People account and onboard Workers to access or use Metarelic People Services. If we believe that there is a violation of these Worker Terms or any of our other policies by you that can be remediated by Employer taking action, we may, but have no obligation to, request, instruct or direct Employer to take action rather than intervene or take such action directly.
You acknowledge and agree that certain data or information you submit to Metarelic People Services is "Employer Data" as defined in the Employer Agreement and is owned by the Employer. The Employer Agreement provides the Employer with many choices and control over that Employer Data. For example, Employer may enable or disable features, manage permissions, and request that Metarelic People share Employer Data with a third party, and these choices and instructions may result in the access, use, disclosure, modification or deletion of certain or all Employer Data.
AS BETWEEN US AND EMPLOYER, YOU AGREE THAT IT IS SOLELY THE EMPLOYER'S RESPONSIBILITY TO (A) INFORM YOU OF ANY RELEVANT EMPLOYER POLICIES AND PRACTICES AND ANY SETTINGS THAT MAY IMPACT THE PROCESSING OF EMPLOYER DATA; (B) OBTAIN ANY RIGHTS, PERMISSIONS OR CONSENTS FROM YOU THAT ARE NECESSARY FOR THE LAWFUL USE OF EMPLOYER DATA AND THE OPERATION OF THE METARELIC PEOPLE SERVICES; (C) ENSURE THAT THE TRANSFER AND PROCESSING OF EMPLOYER DATA PURSUANT TO THE EMPLOYER AGREEMENT IS LAWFUL; AND (D) RESPOND TO AND RESOLVE ANY DISPUTE WITH YOU RELATING TO OR BASED ON EMPLOYER DATA, THE METARELIC PEOPLE SERVICES OR EMPLOYER'S FAILURE TO FULFILL THESE OBLIGATIONS. METARELIC PEOPLE MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, TO YOU RELATING TO THE METARELIC PEOPLE SERVICES, WHICH ARE PROVIDED TO YOU ON AN "AS IS" AND "AS AVAILABLE" BASIS.
2. Worker Account and Access
After your Employer onboards you to Metarelic People, you can access the mobile app and platform using your personal email address or phone number that was provided during the onboarding process.
Metarelic People uses a one-time password (OTP) system for account access. You will receive a unique, temporary password sent to your verified email address or mobile number when logging in. This password is valid for a single login session and expires after a short period of time. You are responsible for maintaining the security of your email account and/or mobile device to ensure that only you can access these one-time passwords. You accept all risks of unauthorised use of your Worker Account if the security of your email account or mobile device is compromised. If you believe your account has been accessed by an unauthorised third party, you should contact us immediately. Metarelic People reserves the right to prevent access to your account if we have reason to believe that your account or your email/mobile device has been compromised.
These Worker Terms remain effective until your access to Metarelic People Services has been terminated by the Employer or us. Please contact the Employer if, at any time or for any reason, you wish to terminate your account.
2. Services Available to Workers
Your Worker Account may enable you to access and receive Employer-Provided Services and/or Worker Services, each as defined and further described below. Contractors may not be eligible for some or all Employer-Provided Services or Worker Services. Some third-party services, such as employer-provided and worker services, may be subject to additional terms.
A. Employer-Provided Services and Employer Data
Employer-Provided Services are the Services that are only made available to you as a result of your relationship with your Employer, and the Employer must sign up for or opt into Employer-Provided Services in order for you to access them using your Worker Account. Employer-Provided Services include:
- The ability to access and provide information and tasks associated with the Employer's business (e.g., entering your time off, viewing pay slips, submitting reimbursement requests)
- Accessing or enrolling in certain Services that the Employer makes available to you as a member of the Employer's business organisation (e.g., health benefits)
If you have questions about using any Employer-Provided Services, you should direct them to the Employer. Employer may revoke or modify your access to Employer-Provided Services at any time, subject to any applicable additional terms.
Personal information and documentation that you upload to your Worker Account for use in Employer-Provided Services is referred to as Employer Data. Metarelic People processes and retains Employer Data at the employer's direction and in accordance with applicable law and legal obligations. You understand and acknowledge that Employer Data will be visible to other Workers, the Employer, and the Employer's authorised Employer Account representative(s) ("Administrator(s)"), depending on the Employer's choices. Employers may also elect to enable third-party services, resulting in Employer Data being shared with a third party and subject to that third party's privacy policy. You understand and agree that the Employer's choices may result in the access, use, deletion, disclosure, or modification of certain Employer Data.
You understand and agree that the Employer is solely responsible for the following:
- Notifying or informing you of any relevant policies, practices, settings, or choices Employer may elect or apply that may impact Metarelic People's processing of Employer Data
- Obtaining your permission and/or consent as may be legally required in order to lawfully use Employer Data you input in order to operate your access to Employer-Provided Services via the Platform
- Ensuring that any transfer and/or processing of Employer Data pursuant to this Agreement is lawful
- Responding to and resolving any dispute that may arise between you and your Employer relating to or based on Employer Data, the Platform, or Services, or the Employer's failure to fulfil any of these responsibilities
Employer is your first point of contact for questions, concerns, or issues concerning the use of or access to Employer-Provided Services, other than questions about your access to the Platform or your Worker Account. However, Metarelic People reserves the right to intervene directly and take what we determine to be appropriate action in the event that the Employer is unable to resolve your issue or we believe there is a risk of harm to Metarelic People, Worker(s), third parties, or the Services. Metarelic People may monitor the use of the Platform and Services for compliance with this Agreement but are not obligated to do so. You agree to cooperate with Metarelic People in the event of any such direct intervention.
B. Worker Services and Worker Data
Separate from and in addition to Employer-Provided Services and subject to any applicable additional terms and eligibility criteria, your Worker Account may enable you to access certain third-party services and/or Services available to you directly (each, a "Worker Service" and collectively "Worker Services"). Contractors may not be eligible for some or all Worker Services. We are providing eligible Workers with access to Worker Services subject to such Workers' compliance with this Agreement, regardless of such Workers' relationship with the Employer. In other words, eligible Workers' use of and access to Worker Services will continue after dismissal from the Employer's business and cannot be revoked or modified by the Employer. Notwithstanding the foregoing, we reserve the right to suspend or revoke your access to any or all of the Worker Services if we have reason to believe that you or Employer has violated this Agreement, any agreement with us, including agreements regarding Worker Services, or applicable law.
Worker Services include, among other things, the ability to access certain limited functions within your Worker Account after your relationship with an Employer is terminated. Personal information and documents you input to the Platform for Worker Services are referred to herein as "Worker Data." Worker Data will be processed and retained by Metarelic People in accordance with our legal obligations and our Privacy Policy, as it may be updated from time to time. The Privacy Policy is incorporated into this Agreement with full force and effect.
You are solely responsible for following instructions that we provide you with respect to the Platform and Worker Services and for timely providing Metarelic People with accurate and complete information required for Metarelic People to perform the Worker Services. Metarelic People's performance of Worker Services will rely on the information you provide to Metarelic People. Metarelic People is entitled to rely on all such information and is not required to independently verify or correct any such information. You accept sole responsibility for any liability arising from your failure to correct or update such information.
3. Mobile Application
If you download and use the Metarelic People mobile application ("App"), the following additional terms apply:
- App Store Rules: You acknowledge and agree that the availability of the App is dependent on the third-party app store from which you receive the App. You acknowledge that these Terms are between you and Metarelic People and not with the app store. The app store is not responsible for the App, the content thereof, maintenance, support services, or warranty.
- App Updates: The App may automatically download and install updates from time to time. You agree to receive and permit such automatic updates without any additional notice.
- Mobile Device Access: The App may request access to certain features on your mobile device, such as your camera, photo library, biometric identification features, and push notifications. If you decline access to these features, you may not be able to use all functionalities of the App.
4. Banking Information
Metarelic People allows you to provide banking details through the Platform. This information may be used by your Employer to process payments, such as payroll or expense reimbursements, directly from the Employer's bank account to your bank account. Metarelic People does not process, initiate, or facilitate these payments.
You are responsible for ensuring the accuracy of any banking information you provide. While Metarelic People will implement reasonable security measures to protect your information, we are not responsible for any errors in payment processing that result from incorrect banking information you provide.
You may update your banking information at any time through the Platform. Any changes to your banking information will be available to your Employer for their payment processing. The timing of when these changes take effect for payment purposes is determined by your Employer's processes, not by Metarelic People.
5. Beta Features
We may provide you with access to beta, pilot, trial, pre-release features or products (collectively "Beta Features") via the Platform, either directly or through Employer. Beta Features are provided as-is. We reserve the right to modify, change, or discontinue Beta Features at any time with or without notice. By accessing or using a Beta Feature, you agree to any additional terms that may apply to such Beta Feature, and to follow any and all additional rules or restrictions that we may place on the use of such Beta Feature.
6. Privacy Policy
Metarelic People may collect, use, and disclose your information pursuant to our Privacy Policy, which is incorporated into this Agreement by reference and may be updated from time to time.
7. Metarelic People's Proprietary Rights
Metarelic People is the exclusive owner of:
- The Platform, Services, and all content included therein (excluding Worker Data, Employer Data and third-party services) ("Metarelic People Content");
- Any and all modifications, enhancements, upgrades, and updates to the Platform, Services, and Metarelic People Content; and
- All copyrights, trademarks, service marks, trade secrets, patents, and other intellectual property rights to the Platform, Services, and Metarelic People Content (registered or unregistered).
All rights not expressly granted to Worker in this Agreement are reserved by us. This Agreement does not grant Worker any right to copy, transmit, transfer, modify or create derivative works of the Platform, Services, or Metarelic People Content, or reverse engineer, reverse compile, reverse assemble or otherwise determine or derive source code of the Platform, Services, or Metarelic People Content, or any other right in or to the Metarelic People Content not specifically set forth herein.
You acknowledge that the Platform, Services, and Metarelic People Content are protected by copyright, trademark, and other laws. You agree not to remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated into the Platform, Services, and Metarelic People Content.
If you send us any feedback or suggestions ("Feedback"), that Feedback is given entirely voluntarily, and you grant Metarelic People an unlimited, irrevocable, perpetual, sublicensable, transferrable, royalty-free license to use any such Feedback as we see fit in our sole discretion without obligation, compensation, or restriction of any kind.
Metarelic People grants Worker a limited, non-exclusive, non-transferable, non-sublicensable license to access, use, and view the Metarelic People Content, Platform, and Services solely as necessary to use the Services and in accordance with this Agreement and all applicable additional terms.
8. Consent to Receive Electronic Communications
By providing your email address and mobile phone number to us or to Employer for use with the Platform, you consent to receive electronic communications from Metarelic People. These electronic communications may include notices about applicable fees and charges, transactional information, and other information concerning or related to the Services. These electronic communications are part of your relationship with us. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.
Metarelic People may send SMS messages for account verification, security alerts, and important platform notifications. Message frequency may vary. Standard message and data rates may apply. You may opt out of receiving SMS messages by following the instructions provided in the messages or by contacting customer support.
You certify, warrant, and represent that the telephone number and email address you have provided to us is your contact information and not someone else's information. You represent that you are permitted to receive calls, text messages, and emails at the telephone number and email address you have provided to us. You agree to promptly alert us whenever you stop using a telephone number or email address. Metarelic People and our agents, representatives, affiliates, and anyone calling on our behalf may use such means of communication described in this section even if you will incur costs to receive such phone messages, text messages, emails, or other means.
9. No Professional or Legal Advice
Your use of the Platform and Services is entirely at your own risk. Except as and unless otherwise stated in applicable additional terms, you acknowledge that the Platform, Services, and Metarelic People Content are meant for informational purposes only and are not intended to provide and should not be construed as providing any legal, regulatory, tax, financial, accounting, employment, or other professional advice. You are solely responsible for ensuring your compliance with applicable laws and regulations, and nothing in the Metarelic People Content, Platform, or Services should be construed as, or used as a substitute for, the advice of competent legal or applicable professional counsel. Metarelic People does not guarantee or warrant any results or outcome with respect to the Platform, Services, or Metarelic People Content.
10. Termination
Termination by Metarelic People: We may immediately terminate this Agreement and the Worker Account without notice or liability to you. We are not responsible or liable for any losses, damages, penalties, or expenses related to our termination of this Agreement.
Termination by Worker: If you wish to terminate this Agreement or the Worker Account, please contact your Employer or Metarelic People Support.
Effect of Termination: Upon termination of this Agreement, your access to the Worker Account and certain Services will immediately cease. Termination of this Agreement will not affect any of our rights or your obligations arising under this Agreement prior to such termination.
Any sections or subsections of these Worker Terms or any applicable additional terms which by their nature should survive, will survive termination of these Worker Terms including but not limited to Sections 7, 10, 11, 12, 13, and 14.
11. Warranty Disclaimers
TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, THE PLATFORM, SERVICES, AND METARELIC PEOPLE CONTENT ARE PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND MADE BY METARELIC PEOPLE. WITHOUT LIMITING THE FOREGOING, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, METARELIC PEOPLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, DATA LOSS, AND NON-INFRINGEMENT. FURTHERMORE, METARELIC PEOPLE MAKES NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR QUALITY OF ANY INFORMATION OR METARELIC PEOPLE CONTENT IN OR LINKED TO THE SERVICES. METARELIC PEOPLE CANNOT GUARANTEE THE ACCURACY OR COMPLETENESS OF EMPLOYER DATA, WORKER DATA, OR ANY INFORMATION INPUT INTO THE PLATFORM OR SERVICES BY WORKER AND MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO SUCH EMPLOYER DATA, WORKER DATA, AND INFORMATION. METARELIC PEOPLE DOES NOT WARRANT THAT THE PLATFORM, SERVICES, OR METARELIC PEOPLE CONTENT WILL (I) MEET WORKER'S EXPECTATIONS OR REQUIREMENTS; (II) BE COMPLETELY SECURE OR FREE FROM ERRORS, BUGS, VIRUSES, OR OTHER HARMFUL COMPONENTS; OR (III) BE FREE FROM INTERRUPTION, THEFT, OR DESTRUCTION.
Metarelic People makes no representations or warranties about the Platform's uptime, availability, or permissibility in any particular geographical location. From time to time, Metarelic People may conduct scheduled or emergency system maintenance, during which time the Platform may be inaccessible and unavailable, with or without notice. The Platform and Services rely on third-party technology and services (e.g., web hosting services). Any change to the services offered by these third-party providers may entirely disable, reduce, or adversely affect your use of or access to the Platform and Services.
No oral or written information or advice given by Metarelic People, its agents, or employees will create a warranty or in any way increase the scope of the warranties in this Agreement.
12. Indemnity
To the extent permitted by applicable law, Worker agrees to indemnify and hold harmless Metarelic People and its officers, directors, employees, successors, assigns, representatives, subsidiaries, affiliates, and agents, from and against any losses, damages, expenses, claims, actions, disputes, suits, proceedings, and demands (including, without limitation, reasonable legal and accounting fees), without regard to merit or lack thereof arising out of or related in any way to:
- Your access to or use of the Platform, Services, or Metarelic People Content
- Worker Data
- Worker's violation or alleged violation of this Agreement or any instructions provided by Metarelic People with respect to use of the Platform or Services
- Worker's violation or alleged violation of any third-party right
- Worker's violation or alleged violation of any applicable law, rule, or regulation
- Worker's gross negligence, fraudulent activity, or willful misconduct
- Metarelic People's use of or reliance on information or data furnished by or on behalf of Worker
- Actions or activities that Metarelic People undertakes at the request or instruction of Worker or anyone that Metarelic People reasonably believes to be acting with authority on behalf of Worker
- Metarelic People's use of or reliance on information or data resulting from such requested actions
13. Limitation of Liability
To the extent permitted by applicable law, Metarelic People is not liable, and Worker agrees not to hold Metarelic People responsible for, any damages or losses resulting directly or indirectly from:
- Worker Data or Metarelic People's or a third party's reliance on certain Worker Data
- Errors resulting from Metarelic People's reliance on information provided by or on behalf of Employer or Worker
- Worker's delay in providing, or failure to provide, Metarelic People with information necessary for its provision of the Services
- Worker's violation of applicable law, rule, regulation, or other applicable legal obligation
- Unauthorized third-party actions taken in Worker's Account or sharing of your Worker Account credentials
- Worker's negligence
- Employer's negligence
- Any claims that could have reasonably been avoided or mitigated by Worker through reasonable efforts
- A third-party service's use of Employer Data or Worker Data
- Actions that Metarelic People undertakes at the request or instruction of Worker
- Worker's failure, or the failure of Employer, to properly follow Metarelic People's instructions with respect to the Services
- Worker's use or inability to use the Platform or the Services
NEITHER METARELIC PEOPLE NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE PLATFORM, SERVICES, OR METARELIC PEOPLE CONTENT WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, OR FROM THE USE OF OR INABILITY TO USE THE PLATFORM, SERVICES, METARELIC PEOPLE CONTENT, THIRD-PARTY CONTENT, OR THIRD-PARTY SERVICES, WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT METARELIC PEOPLE HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL METARELIC PEOPLE'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE PLATFORM, SERVICES, OR METARELIC PEOPLE CONTENT EXCEED $500 USD.
14. Dispute Resolution
A. Governing Law. The laws of Grenada shall govern this Agreement.
B. Amicable Resolution. The Parties agree that the avoidance or early resolution of disputes is crucial for the smooth execution of this Agreement. The Parties shall use their best efforts to settle amicably all disputes arising out of or in connection with this Agreement or its interpretation.
C. Negotiation. In the event of a dispute between Parties concerning the interpretation or application of this Agreement, the parties concerned shall seek a solution by negotiation. You agree to contact our customer service team at success@metarelicpeople.com to initiate such negotiation, and Metarelic People will respond promptly to such requests.
D. Mediation. If the parties concerned cannot reach an agreement by negotiation, they may jointly seek the good offices of or request mediation by a third party.
E. Court Proceedings. In the event of failure of the above procedures, each Party may submit the dispute to the courts of Grenada.
F. Time Limitation. Any cause of action arising out of or related to the Platform or Services must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.
G. Intellectual Property Disputes. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.
15. Changes to the Agreement, Platform, or Services
We may modify this Agreement at any time, in our sole discretion, effective upon posting of an updated version of this Agreement. Such amendments or changes will be effective upon the effective date and posting of the updated version of this Agreement. You will be notified of any change in the manner provided by applicable law prior to the effective date of the change. You should review each modified version of this Agreement as your continued use of the Platform or Services after such changes are posted constitutes your agreement to be bound by the modified Agreement. If you do not agree to be bound by the modified Agreement, then you may terminate your Worker Account as provided in this Agreement. Because the Platform and Services evolve over time, we may change or discontinue all or any part of the Platform or Services at any time and without notice at our sole discretion.
16. Governing Law
This Agreement is governed by, and all Disputes shall be resolved in accordance with the laws of Grenada without regard to the conflicts of laws provisions thereof.
17. Force Majeure
Metarelic People is not liable for any delay or failure in performance of its obligations from any cause beyond Metarelic People's control, including, but not limited to, acts of God, changes to laws or regulations, embargoes, wars, terrorist acts, failures by a third-party technology service provider, riots, fires, earthquakes, floods, pandemics, power outages, strikes, weather conditions, acts of hackers, acts of internet service providers, acts of any other third party, or acts or omissions of Employer or Worker.
18. General
Entire Agreement. This Agreement constitutes the entire agreement between Metarelic People and Worker regarding the Platform and Services and replaces all prior agreements, oral or written, regarding this subject matter. If any part of this Agreement is deemed to be unenforceable or invalid, that section will be removed without affecting the validity or enforceability of the remainder of the Agreement, except as provided in Section 14.
Notices. Any notices or other communications provided by Metarelic People under this Agreement, including those regarding modifications to this Agreement, will be given: (i) via email; or (ii) by posting to the Platform. For notices made by email, the date of receipt will be deemed the date on which such notice is given. For notices made by posting to the Platform, the date of such posting will be deemed the date that notice is given.
Waiver and Remedies. Metarelic People's failure to enforce any right or provision of this Agreement will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorised representative of Metarelic People. Except as expressly set forth in this Agreement, the exercise by either party of any of its remedies under this Agreement will be without prejudice to its other remedies under this Agreement or otherwise.
